Position Summary
We are seeking a highly organized and detail-oriented Corporate Paralegal to join our dynamic legal team. This role supports a variety of corporate legal functions including entity management, corporate governance, regulatory compliance, contract support, and assistance with domestic and international transactions. The ideal candidate thrives in a fast-paced environment, is proactive, technologically adept, and capable of working both independently and collaboratively with attorneys, executives, and cross-functional teams.
Key Responsibilities
- Assist with corporate governance matters, domestically and internationally, including the drafting and maintenance of resolutions, consents, bylaws, meeting minutes, and board materials.
- Prepare, file, and maintain corporate organizational documents (formations, amendments, dissolutions, foreign qualifications, withdrawals, and SS-4 applications).
- Assist in preparing and reviewing presentation materials for various Company activities, including management, board, regulatory and shareholder meetings with accuracy and attention to detail
- Manage and update corporate records, business entity databases (e.g., CSC, CT Corp., Diligent), and minute books.
- Support due diligence, document review, and closing logistics for corporate transactions (M&A, financing, leasing, etc.).
- Coordinate execution of documents (including DocuSign), prepare closing binders and indices, and distribute executed documents.
- Prepare and file domestic and international regulatory filings
- Maintain compliance calendars and filing schedules across multiple jurisdictions. Prepare and maintain calendar of deliverables for filings, corporate governance, and insurance matters; requires understanding of work product and process for each workstream in order to ensure the legal department stays on task.
- Assist with drafting and review of contracts, subscription agreements, commitment letters, and side letters.
- Conduct legal and factual research using tools such as LexisNexis, Westlaw, and other electronic databases.
- Partner with internal departments and external stakeholders (vendors, regulators, auditors) on legal and compliance matters.
- Stay up to date with Company technology and demonstrate dexterity in learning and using programs, software and databases relevant to assisting and enhancing the legal department’s operations, including artificial intelligence, board management platforms, document management software, etc.
- Provide administrative support to the legal department, including calendar management, meeting preparation, and special projects.
Required Qualifications
- Associate’s Degree required; Bachelor’s Degree preferred; Paralegal Certificate from an ABA-approved program preferred.
- 10+ years of corporate paralegal experience in a law firm or in-house legal department; experience in the insurance industry is a plus.
- Demonstrated experience with corporate governance, entity management, and regulatory filings.
- Proficiency in Microsoft Office Suite (Word, Excel, PowerPoint, Outlook, Teams), Adobe Acrobat, and legal technologies (CLM systems, DocuSign, board platforms, etc.).
- Strong written and verbal communication skills; excellent proofreading and redlining abilities. Writes clearly and informatively; reviews work for accuracy and relevance; presents data effectively and in an understandable format.
- Ability to manage multiple high-priority tasks simultaneously with attention to detail and minimal supervision.
- Prioritizes and plans work activities for self and/or others to meet individual, team and departmental objectives; anticipates resources required to deliver tasks and identifies potential risks; able to adapt if circumstances change; checks completion of activities and progress on projects, showing awareness of deadlines and develop appropriate action plans.
- Demonstrates accuracy and thoroughness; looks for ways to improve and promote quality; applies feedback to improve performance; monitors own work to ensure quality. Attention to detail is essential.
- Adapts to changes in the work environment; manages competing demands; changes approach or method to best fit the situation; able to deal with frequent change, delays, or unexpected events.
- High degree of discretion with confidential information and strong professional ethics.
- Strong interpersonal skills; able to work effectively with individuals at all levels including senior executives.

- Experience with international corporate governance and cross-border regulatory filings.
- Familiarity with artificial intelligence tools in legal operations.
